By engaging Matrix Global ("Company," "we," "us," or "our") for Business Process Outsourcing (BPO) or Information Technology (IT) services, you ("Client") agree to be bound by these Terms & Conditions. These terms apply to all services described on www.mgits.org and in any executed Statement of Work (SOW) or Master Services Agreement (MSA).
Matrix Global provides Business Process Outsourcing services including but not limited to Health Information Management, Revenue Cycle Management, Collections Services, Finance & Accounting, and Customer Experience services, as well as Information Technology services including software development, UI/UX design, and technology consulting. Specific scope, deliverables, timelines, and service levels for each engagement are defined in a separate Statement of Work.
Client agrees to provide timely access to necessary systems, data, and personnel required for Matrix Global to perform contracted services. Client is responsible for the accuracy of information provided and for obtaining any necessary consents for data sharing, particularly regarding protected health information (PHI) or personally identifiable information (PII).
Matrix Global maintains strict confidentiality regarding all Client data and adheres to applicable data protection regulations including HIPAA (United States), GDPR (European Union/United Kingdom), and PIPEDA (Canada). A separate Business Associate Agreement (BAA) or Data Processing Agreement (DPA) will be executed for engagements involving regulated data categories.
Unless otherwise specified in the applicable SOW, all work product, code, documentation, and deliverables created specifically for Client under a paid engagement become the exclusive property of Client upon full payment. Matrix Global retains rights to any pre-existing tools, frameworks, or methodologies used in service delivery.
Payment terms are specified in the applicable SOW or invoice. Standard terms are net 30 days from invoice date unless otherwise agreed in writing. Late payments may be subject to interest charges as permitted by applicable law.
Either party may terminate a services agreement with 30 days written notice, unless a different notice period is specified in the SOW. Upon termination, Client is responsible for payment of all services rendered up to the termination date. Matrix Global will provide reasonable transition assistance as outlined in the applicable SOW.
Matrix Global's total liability for any claim arising from these services shall not exceed the total fees paid by Client in the twelve (12) months preceding the claim, except in cases of gross negligence, willful misconduct, or breach of confidentiality obligations.
These Terms shall be governed by the laws of India for engagements originating from our India offices, or the laws of the Province of Ontario for engagements originating from our Canada offices, as specified in the applicable Master Services Agreement.
